By purchasing this course, the purchasing individual and organization agree to the following:
____ INDEMNIFICATION BY PARTICIPANT. Participant agrees that Center for Camp Safety and Emergency Preparedness shall have no liability to Participant or any of Participant’s clients or customers and Participant agrees to defend, indemnify and hold Center for Camp Safety and Emergency Preparedness, its affiliates and subsidiaries and their respective officers, directors, shareholders, employees, agents, successors and assigns harmless for any and all claims, demands, losses, liabilities, damages, costs and/or expense (including reasonable legal fees) arising out of or relating to: (i) Participant’s use of the Plans, (ii) Participant’s breach or default of this Agreement, (iii) the performance, promotion, sale, or distribution of Participant’s services as a Certified Participant, (iv) Center for Camp Safety and Emergency Preparedness’s termination of the term of this Agreement or Certification, (v) Participant’s or Participant’s employees performance or non-performance under this Agreement, (vi) Participant’s or Participant’s employees work on the Products; and/or (vii) for any personal injury, product liability, or other claim arising from Participant or Participant’s employees working with the Products. If Center for Camp Safety and Emergency Preparedness seeks indemnification under this Section, Center for Camp Safety and Emergency Preparedness will notify Participant of any claim or proceeding brought against it for which it seeks indemnification under this Agreement. Participant shall reimburse Center for Camp Safety and Emergency Preparedness upon demand for any expenses reasonably incurred by Center for Camp Safety and Emergency Preparedness in defending such a claim, including, without limitation, attorney’s fees and costs, as well as any judgment on or settlement of the claim in respect to which the foregoing relates.
____ LIMITATION OF LIABILITY. IN NO EVENT SHALL CENTER FOR CAMP SAFETY AND EMERGENCY PREPAREDNESS OR ITS AFFILIATES OR SUBSIDIARIES BE LIABLE IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS PROFITS) ARISING FROM OR RELATED TO PARTICIPANT’S PERFORMANCE OF SERVICES, CERTIFICATION, FAILURE TO ACHIEVE CERTIFICATION, OR USE OF OR INABILITY TO USE THE DESIGNATIONS, OR ARISING FROM OR RELATED TO THE TERMINATION OF PARTICIPANT’S CERTIFICATION, EVEN IF SQUARE D COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AUTHORIZATION TO USE DESIGNATION; INTELLECTUAL PROPERTY ____ Subject to and expressly conditioned upon compliance with the terms and conditions of this Agreement, upon Participant’s successful Certification, and for so long as Participant remains in compliance with all applicable continuing Certification requirements, Center for Camp Safety and Emergency Preparedness hereby authorizes Participant to use the Plan(s) for which Participant has obtained Certification. Participant acknowledges Center for Camp Safety and Emergency Preparedness’s sole ownership of the Plans and that nothing in this Agreement, or in Participant’s status as a Certified Participant, or that might otherwise be implied by law, shall operate to give Participant any right, title or interest in the Plans other than the authorization specifically granted herein.
____ Participant may not use or reproduce the Designations in any manner whatsoever other than as described herein or in such other guidelines promulgated by Center for Camp Safety and Emergency Preparedness from time to time. Participant shall employ best efforts to use the Plans in a manner that does not derogate from Center for Camp Safety and Emergency Preparedness’s rights, and shall take no action that may interfere with or diminish Center for Camp Safety and Emergency Preparedness’s rights in the Plans or its other intellectual or proprietary rights, either during the term of this Agreement or afterwards. Participant shall immediately cease all use of the Plans upon the expiration or termination of the term of this Agreement.
____ All Center for Camp Safety and Emergency Preparedness Certification materials are proprietary to Center for Camp Safety and Emergency Preparedness protected by trade secret laws.
____ Nothing in this Agreement authorizes Participant to use any Center for Camp Safety and Emergency Preparedness trademarks, service marks, or logos except as expressly specified in this Agreement.
